Files stay in the seller's own storage
No uploads to a vendor. The room reads on demand Google Drive, Microsoft, Dropbox read-only, and only when a document is needed.
AI-native virtual data room · raises, licensing, M&A
Documents stay in your own storage. Each investor or partner runs its own AI review in a sealed EU machine both sides approve, every finding cited to the page. When the deal closes, the room vanishes.
Microsoft Azure confidential computing · EU processing · Two-factor sign-in for everyone · Files read on demand to volatile memory · Documents never copied to disk · Signed deletion at close · Pilot: USD 650 (EUR 590) per project

Why it is built this way
No uploads to a vendor. The room reads on demand Google Drive, Microsoft, Dropbox read-only, and only when a document is needed.
Use the sealed in-room model or connect your own model account, with your own checklists, prompts and training sets. Your detailed settings and training sets stay confidential to you: the seller, other bidders and BSUM never see them.
Security first. Each room runs on its own Microsoft Azure confidential virtual machine, where the processor encrypts memory. Before any document is read, the machine proves it runs the approved code, and only then does Azure Key Vault release the room key. Documents are processed in volatile memory only and never written to disk. The room's own records (settings, Q&A, reports) are kept as an encrypted recovery save that only that attested machine can open, so a restart resumes where it stopped. At close, data, recovery save and keys are destroyed and both sides get a signed deletion receipt.
Per folder and per buyer: AI analysis only, so no person on the buyer side opens the file; AI plus named reviewers in a watermarked viewer; or the old way, human read only enabled, with AI switched off for that folder. No downloads, printing or copying, and every reviewer signs in with two-factor authentication.
Companies preparing an equity round. See your data room the way investors will, before they do.
Partners reviewing a technology, product or asset. IP, contracts and regulatory status checked with page citations.
Acquirers and sellers running a confidential process with several bidders, each in its own private review space.
Industry-aware analysis for life science, software and IT, energy, manufacturing, financial services and real estate, and a general profile for every other industry.
Classic data rooms were built to store and share files; AI features came later, on top. Haihtuva starts from the analysis: a sealed, verified machine reads the documents where they already are, and keeps nothing at close. Our processing method is the subject of a patent application. Side by side, without naming any vendor:
| Classic data room | Haihtuva | |
|---|---|---|
| Where documents live | Uploaded as copies to the vendor's storage | Stay in the seller's own storage, read on demand, read-only |
| Who runs the AI | The vendor's AI features, if any | Each buyer selects and runs its own AI in a private review space |
| Who can read a document | People with view rights | The seller chooses per folder or file: AI only, AI plus named reviewers, or people only with AI switched off |
| Buyer's own AI and data | Where offered, outside AI assistants are connected to the vendor's copies | Connect your own model account, approved by both sides in the security summary; add your own checklists and research |
| Where it runs | The vendor's shared cloud service | A dedicated Microsoft Azure confidential virtual machine per room, in the EU, with encrypted memory |
| Before anything is read | Access rights are set | The machine is verified and both sides sign its security summary |
| Findings | Written by reviewers; AI summaries in some products | Every AI finding cites the document and page |
| Seller preparation | Manual checklists | Readiness check: gaps, likely questions and drafts before buyers arrive |
| At close | Archive and export | Data and keys deleted; both sides get a signed deletion receipt |
Each side sets up its part, both sign one page, and the analysis, questions and reports follow on autopilot. You get a notice when something needs you.
The seller links its own folders, read-only. The buyer names the company, chooses the deal type and its AI model, and decides how much runs by itself.
One security summary shows the machine, the model, the region and the output rules. Seller and buyer sign it. Nothing is read before both have.
Document review, automated Q&A, questions and document requests to the seller, a second round and the reports. Follow it live, with time left for every step.
Seller journey
Your preparation stays on your side: buyers never see drafts, scores or simulations.
Buyer journey
Your review space is private: other bidders never see your questions, settings or reports.
The technical set-up of every room is recorded in a security summary that both sides sign. Trust & compliance · Cloud security self-assessment · Security Specification
An Azure confidential virtual machine in the EU, with encrypted memory and a key released only to the verified machine.
Files stay in the seller's own storage and are read on demand. Pages are watermarked and every view is logged.
BSUM staff get no application access, credentials or keys to read your documents. BSUM receives only technical health data such as uptime and errors, never document content.
When the room closes it deletes its data and keys, and both sides receive a signed destruction receipt.
Haihtuva does the work of a virtual data room, then adds the AI review and the security model above.
Every project has one modest base fee, the project licence, with an AI allowance included. Heavy AI work beyond the allowance is added with credit packs when you need it. Your whole team is included. The pilot costs USD 650 (EUR 590) per project.
Base fee
One project = the seller side of one data room, or one buyer's due diligence.
When you need more
Large data rooms, extra analysis rounds or bulk drafting use more AI. Add a pack any time from your project's Usage page.
Seller add-on
Every document reviewed the way a buyer will, before buyers arrive. Includes its own AI credits.
Prices in EUR, USD and GBP exclude VAT or sales tax. Payment by card on Stripe.
A virtual data room is a secure online space where a company shares confidential documents with investors, acquirers or licensing partners during due diligence. Classic VDRs store copies of the documents and control who can view them. Haihtuva works differently: the seller's documents stay in its own storage (Google Drive, Microsoft OneDrive or SharePoint, Dropbox) and are read on demand, read-only.
Haihtuva is built AI-first rather than adding AI to a file-sharing product. Each buyer runs its own AI due diligence on the shared documents inside a sealed Azure confidential virtual machine in the EU. Documents are processed in encrypted memory and are not copied to disk, and when the room closes its data and keys are deleted.
AI due diligence uses language models to read the documents of a deal, find risks with page-level citations, answer questions from the data room and draft reports. In Haihtuva every finding cites the document and page it comes from, so people can check it. AI output is a draft to verify; it is not legal, financial or investment advice.
Yes. In Readiness the seller links its storage and sees its data room the way a buyer will: a tailored checklist, missing documents, likely buyer questions and drafts of missing documents from its own files. Buyers never see the seller's preparation.
Each buyer works in a private lane: other bidders never see its questions, settings or reports. The seller sees which documents each organisation opened, not per-person timings. The operator, BSUM, has no application access to the documents and receives only technical health data, never document content.
Equity investments, licensing and partnering, and M&A in any industry. The analysis has industry profiles for life science, software and IT, energy, manufacturing, financial services and real estate, and a general profile for everything else.
Yes. Each buyer chooses its AI model (the sealed in-room model or its own model account), edits the instructions the AI follows for every step, chooses the report sections and how much runs by itself, and adds its own checklists, question lists and training material. These settings stay confidential in the buyer's private review space: the seller, other bidders and BSUM never see them. A change of model or provider is approved by both sides in the room's security summary before it is used.
No. BSUM does not use room content, questions or results to train AI models, and configures the model providers it selects not to do so. The approved model and its settings are listed in each room's Security Specification.
Not yet. A SOC 2 readiness programme has been initiated; an independent audit has not yet been performed. Our security overview and the Security Specification of each room describe the controls in place today.
Google Drive, Microsoft OneDrive and SharePoint, Dropbox and Box, read-only; files stay where they are. If your organisation does not approve a storage connection, you can upload files, folders or a zip instead: they are kept in the room's encrypted memory only.
PDF (including scans, read with OCR in about 40 languages), Word (.docx and .doc), Excel (.xlsx and .xls, with cell references and arithmetic checks), PowerPoint (.pptx and .ppt), OpenDocument, RTF, text, images, and video and audio: speech is transcribed inside the room by an open model installed with it, and on-screen text is read from the frames. Nothing is sent to an outside transcription service.
Models provided by BSUM, with no account of your own: the sealed open model and premium models hosted on BSUM's Microsoft Azure (for example GPT-5.5, Claude and DeepSeek). Each room's security summary names the model, its host and region before both sides approve. Claude models are processed in the United States, and the summary says so. Or connect your organisation's own approved model account.
Recovery saves are on by default: the room's own records (settings, users, Q&A, reports, audit trail) are saved as an encrypted copy that only the room's attested machine can open, so a restart resumes where it stopped. Documents are never in it: they are read again from your storage. Storage sign-ins and your own AI keys are never saved. The seller admin can switch recovery saves off; both sides see the setting.
USD 650 (EUR 590) per project, excluding VAT, paid by card on Stripe when you accept your invitation. It includes the project licence with its AI allowance.
Each project has a modest base fee (the project licence) that includes an AI allowance; heavy AI work beyond it is added with credit packs, and Deep analysis is a seller add-on. Prices are confirmed in writing before anything is billed.
On Microsoft Azure confidential virtual machines in the EU. The approved AI model, region, retention and logging settings of each room are recorded in its Security Specification, which both sides approve before any document is read. When a room uses a model processed outside the EU (Claude models run in the United States), the specification says so. For models hosted on Microsoft Azure, Microsoft's abuse monitoring for Azure AI services applies under Azure's terms unless Microsoft has approved an exemption; the specification states which applies.
