Preparing your data room for due diligence

Investors and acquirers judge a company partly by its data room. Gaps, outdated versions and unanswered questions slow a process down and can change its terms. Preparing before the first buyer arrives pays off.

A practical order

  1. Structure: numbered folders by area (corporate, finance, IP, contracts, people, regulatory), one current version of each document, clear file names.
  2. Completeness: compare the data room with what buyers of this kind of deal expect; list what is missing or only partly covered.
  3. Consistency: check that numbers and statements agree across the pitch deck, business plan and documents.
  4. Likely questions: prepare answers to the questions buyers are most likely to ask, with the evidence.
  5. Personal data: leave out or redact what buyers do not need.

How Haihtuva helps the seller

Readiness, Stage 1 is part of the project licence: link your storage (the only required step), then optionally run the tailored checklist, see the gaps, draft missing documents from your own files and prepare likely buyer questions. Stage 2 (deep analysis, a paid option) reviews every document the way a buyer will, with the highest-impact risks first. Buyers never see the seller's preparation.
