What is a virtual data room (VDR)?
A virtual data room (VDR) is a secure online space where a company shares confidential documents during a transaction: an equity investment, a licensing deal, a merger or an acquisition. Investors and their advisers use it to carry out due diligence: they read the documents, ask questions and request what is missing before they decide.
What goes into a data room
A typical due-diligence data room is organised in numbered folders, for example:
- Corporate: articles, shareholder register, cap table, board minutes
- Finance: financial statements, budgets, funding and grants
- Intellectual property: patents and applications, assignments, licences, freedom-to-operate work
- Commercial and contracts: material agreements, partners, customers
- People: key employment terms, option plans, invention assignments
- Regulatory and quality (life science): agency interactions, clinical and preclinical data, manufacturing
What a VDR has to do
Control who sees which folder, log access, prevent uncontrolled copying, support questions and answers between the parties, and end cleanly when the process ends.
How Haihtuva does it differently
- No upload of copies. The seller links its own storage (Google Drive, Microsoft OneDrive/SharePoint, Dropbox) read-only; documents are read on demand.
- AI built in. Each buyer runs its own AI due diligence: document review with risks and page citations, answers from the data room, questions and document requests to the seller, and reports.
- Sealed processing. Everything runs in an Azure confidential virtual machine in the EU, in encrypted memory. When the room closes, its data and keys are deleted.
